Terms and Conditions

1. Scope of These Terms:

These Terms and Conditions apply to all quotations, orders and sales of industrial valves, actuated valve assemblies, special-material valves and related products manufactured by Speciality Valve.

All transactions are intended for Business-to-Business customers, including EPC contractors, engineering companies, distributors, plant operators and industrial buyers.

By accepting a quotation, issuing a purchase order or confirming an order, the buyer agrees to these terms unless different conditions have been accepted in writing.

2. Quotations and Order Confirmation:

Quotations are valid only for the period stated in the commercial offer.

An order becomes binding after:

  • Speciality Valve issues written confirmation
  • Technical and commercial terms are accepted
  • The agreed advance or payment security is received
  • Required drawings or datasheets are approved

Changes to an order must be requested and accepted in writing. Modifications may affect the price, manufacturing schedule and delivery date.

The buyer is responsible for providing accurate information, including:

  • Valve size and pressure rating
  • Operating medium
  • Design pressure and temperature
  • Body, trim and seat materials
  • End connections
  • Actuation requirements

Prices apply only to the products and quantities stated in the quotation.

Unless clearly included, prices exclude:

  • GST and other applicable taxes
  • Freight and insurance
  • Inspection by third-party agencies
  • Special packing
  • Certification or additional documentation
  • Installation and commissioning

Prices may be revised before order confirmation when material costs, exchange rates, duties or customer requirements change.

5. Payment Terms:

Payment terms will be stated in the quotation, pro forma invoice or order confirmation.

Production, inspection or dispatch may begin only after the agreed payment conditions are fulfilled. Bank charges, taxes and transaction costs are borne by the party identified in the commercial agreement.

Late payment may result in delayed production or dispatch.

6. Manufacturing, Inspection and Testing:

Products are manufactured and tested according to the agreed specifications and applicable standards.

Inspection may include:

  • Material verification
  • Dimensional checks
  • Shell pressure testing
  • Seat-leakage testing
  • Functional testing
  • Actuator performance checks

Additional inspection or testing requested after order confirmation may involve extra cost and time.

Delivery schedules may be affected by:

  • Raw-material availability
  • Manufacturing workload
  • Drawing approval
  • Inspection arrangements
  • Transport restrictions
  • Customs procedures
  • Events beyond reasonable control

Shipping terms, freight responsibility and transfer of risk will follow the agreed quotation, invoice or Incoterm.

8. Warranty:

The warranty period, where applicable, will be stated in the quotation or order confirmation.

Warranty covers verified manufacturing or material defects under normal and intended operating conditions. The available remedy may be repair, replacement or another solution determined after technical evaluation.

Warranty does not cover:

  • Incorrect installation
  • Improper storage or handling
  • Unsuitable application
  • Operation beyond rated conditions
  • Normal wear and tear

Any established liability will be limited to the value of the affected products, unless otherwise agreed in writing.

11. Force Majeure:

Speciality Valve will not be liable for delay or failure caused by events beyond reasonable control, including natural disasters, war, strikes, government restrictions, transport disruption, power failure, raw-material shortages or supply-chain interruptions.

Delivery schedules may be extended for the duration of such events.
